Terms of Service
1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and IntelliBill, LLC ("IntelliBill," "we," "us," or "our") and govern your access to and use of the intellibill.io website, the IntelliBill desktop application, the Founding Firm Pilot, the Interactive Product Tour, and any related services (together, the "Service"). By accessing the website or installing or using the application, you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a law firm or other organization, you represent that you are authorized to bind that organization, and "you" refers to both you and that organization.
2. What IntelliBill Is
IntelliBill is local-first legal-billing software. With your authorization, it reviews Microsoft 365 email activity to identify work that may be billable and drafts a proposed client, matter, duration, and narrative for your review. Core classification, matter matching, the customer database, and review state run locally on your computer.
Every proposed entry requires your review before it is exported. IntelliBill produces reviewed output (for example, a CSV file) for you to reconcile or import into your own systems. IntelliBill does not write directly into your billing or practice-management system unless a specific integration is separately described and enabled.
The Interactive Product Tour uses fictional, in-memory data for demonstration only and does not analyze your email or store data.
3. Eligibility and Your Authority
You must be at least 18 years old and able to form a binding contract. You represent that you have the authority to grant IntelliBill read-only access to the Microsoft 365 mailbox or account you connect, and that doing so does not violate any agreement, policy, or obligation that applies to you or your organization.
4. Pilot and Evaluation
Parts of the Service, including the Founding Firm Pilot, are offered for evaluation and may be provided on a limited, pre-release, or promotional basis. Pilot features may change, be limited in scope, or be discontinued, and are provided without any commitment that they will become generally available. Any specific pilot scope, duration, and any fees are described at the time you enroll and, where applicable, in a separate order or pilot agreement, which controls if it conflicts with these Terms.
5. License
Subject to these Terms, IntelliBill grants you a limited, non-exclusive, non-transferable, revocable license to install and use the application and the Service for your internal professional use. You may not copy, modify, distribute, sublicense, sell, rent, reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law, and you may not remove any proprietary notices.
6. Your Responsibilities
- Review before use. IntelliBill produces drafts and suggestions. You are solely responsible for reviewing, correcting, and approving every time entry, narrative, duration, and client or matter assignment before it is billed, submitted, or relied upon.
- Professional and ethical obligations. You remain responsible for your own billing accuracy and for compliance with the rules of professional conduct, court rules, client engagement terms, and any billing guidelines that apply to you. IntelliBill is a tool that supports your judgment; it does not replace it.
- Client confidentiality and privilege. You are responsible for ensuring your use of the Service is consistent with your duties of confidentiality and any applicable privilege. IntelliBill's local-first design is intended to support this, but you remain the party responsible for how your client information is handled.
- Your systems and credentials. You are responsible for maintaining the security of your computer, your accounts, and your Microsoft 365 credentials, and for the actions taken under your account.
- Lawful use. You will use the Service only for lawful purposes and only with data you are authorized to process.
7. No Legal Advice
The Service and the content on intellibill.io, including any figures, examples, and estimates, are provided for general informational purposes and to describe the product. They are not legal, ethical, accounting, or other professional advice, and using the Service does not create any professional-client relationship with IntelliBill. Outputs are drafts that depend entirely on your review.
8. Fees
If a portion of the Service requires payment, the applicable fees, billing period, and terms are presented before you purchase or enroll. Unless stated otherwise or required by law, fees are non-refundable. We may change fees prospectively; changes do not affect a term you have already paid for. You are responsible for any taxes other than taxes on our net income.
9. Third-Party Services
The Service works with third-party services you choose to connect, including Microsoft 365. Your use of those services is governed by their own terms and privacy policies, and IntelliBill is not responsible for them. You are responsible for maintaining any third-party accounts and permissions the Service relies on.
10. Data and Privacy
Our handling of information is described in our Privacy Policy, which is incorporated into these Terms. As between you and IntelliBill, you own and are responsible for the email content, client information, and other data you process with the Service ("Your Data"). You grant us only the limited rights needed to provide and support the Service. Because classification and review run locally on your computer, Your Data is processed there rather than on our servers, except for the limited information described in the Privacy Policy.
11. Intellectual Property
IntelliBill and its licensors own all rights in the Service, including the software, models, design, and content, other than Your Data. These Terms do not transfer any ownership to you. Feedback you choose to provide may be used by us without restriction or obligation to you.
12. Acceptable Use
You will not (a) use the Service to violate any law or the rights of others; (b) attempt to gain unauthorized access to the Service or related systems; (c) interfere with or disrupt the Service; (d) use the Service to process data you are not authorized to access; or (e) use the Service to build a competing product or to benchmark it for a competitor.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IntelliBill does not warrant that the Service will be uninterrupted, error-free, or secure, or that any suggestion, classification, duration, or narrative it generates will be accurate or complete. Automated suggestions are drafts that require your review, and you are responsible for the entries you ultimately bill or submit.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IntelliBill AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OR INACCURATE DATA, LOST BILLINGS, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
15. Indemnification
You will defend, indemnify, and hold harmless IntelliBill and its owners, employees, and suppliers from any claim, loss, or expense (including reasonable attorneys' fees) arising out of Your Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
16. Term and Termination
These Terms apply while you use the Service. You may stop using the Service and disconnect any authorized accounts at any time. We may suspend or terminate your access if you violate these Terms, if required for security or legal reasons, or if we discontinue the Service. Provisions that by their nature should survive, including Sections 6, 7, 10, 11, and 13 through 18, survive termination.
17. Changes to the Service and These Terms
We may modify the Service and these Terms from time to time. If we make a material change to these Terms, we will update the "Last updated" date and, where appropriate, provide additional notice. Changes are effective when posted, and your continued use of the Service after that means you accept the updated Terms.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not otherwise resolved will be the state and federal courts located in Cook County, Illinois, and you and IntelliBill consent to their jurisdiction. Nothing in this section limits either party from seeking injunctive relief to protect its intellectual property or confidential information.
19. General
These Terms, together with any order or pilot agreement and the Privacy Policy, are the entire agreement between you and IntelliBill regarding the Service and supersede any prior understanding on that subject. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms do not create any agency, partnership, or joint venture.
